style=\"--awb-text-color:var(--awb-color7);\"><p>Any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, as defined below, is an interested person.<\/p>\n<\/div><div class=\"fusion-title title fusion-title-16 fusion-sep-none fusion-title-text fusion-title-size-three\" investment interest in any entity with which SIS has a transaction or arrangement.<\/li>\n<li>A compensation arrangement with SIS or any entity or individual with which SIS has a transaction or arrangement.<\/li>\n<li>A potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which SIS is negotiating a transaction or arrangement<\/li>\n<\/ul>\n<p>Compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial. A financial interest is not necessarily a conflict of interest. In contrast, the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.<\/p>\n<\/div><div class=\"fusion-title title fusion-title-20 fusion-sep-none fusion-title-text fusion-title-size-three\" style=\"--awb-margin-top-small:10px;--awb-margin-right-small:0px;--awb-margin-bottom-small:10px;--awb-margin-left-small:0px;\"><h3 class=\"fusion-title-heading title-heading-left fusion-responsive-typography-calculated\" style=\"margin:0;--fontSize:16;--minFontSize:16;line-height:1.5;\">PROCEDURES FOR ADDRESSING THE CONFLICT OF INTEREST<\/h3><\/div><div class=\"fusion-text fusion-text-7\" style=\"--awb-text-color:var(--awb-color7);\"><ul>\n<li>An interested person may make a presentation at the governing board or committee meeting. Still, after the presentation, he\/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.<\/li>\n<li>The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement.<\/li>\n<li>After exercising due diligence, the governing board or committee shall determine SIS can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest.<\/li>\n<li>If a more advantageous transaction or arrangement is not reasonably possible under the circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in SIS\u2019s best interest, for its benefit and whether it is fair and reasonable. style=\"--awb-text-color:var(--awb-color7);--awb-margin-top:20px;--awb-margin-left:5%;\"><p>The employee(s) responsible for such problems will be subject to disciplinary action, up to and potentially relationships, disrupt the flow of work or the School\u2019s mission, or cause unfavorable publicity in the community should be concerned that their conduct may be inconsistent with one or more of the above guidelines.<\/p>\n<p>Use of social media that involves any criminal activity or harms others\u2019 rights may result in criminal prosecution or civil liability to those harmed, or both.<\/p>\n<p>Employees may not use the School\u2019s computers, network, or other equipment to set up or update a social network page(s).<\/p>\n<p>Employees shall not use or display the School\u2019s logo or other material copyrighted by the School without express written consent.<\/p>\n<p>Sharing or posting of SIS students\u2019 photos and videos by teachers on their personal social media accounts is strictly unacceptable.
